These Terms and Conditions (“Terms”) govern the use of the services provided by ElixirWebs, a digital marketing company based in India (“ElixirWebs”, “we”, “us”, or “our”), accessible through the website www.elixirwebs.com (“Website”). - Services Offered: 1.1. ElixirWebs provides digital marketing services including but not limited to SEO (Search Engine Optimization), SEM (Search Engine Marketing), SMM (Social Media Marketing), content marketing, website design, and development. 1.2. The specifics of services rendered will be agreed upon in writing between ElixirWebs and the client prior to the commencement of any work.
- Payment Terms: 2.1. Clients agree to pay ElixirWebs the fees as agreed upon in the contract. 2.2. Payments are due as outlined in the contract. Failure to make timely payments may result in the suspension or termination of services. 2.3. All payments shall be made in Indian Rupees (INR) unless otherwise agreed upon in writing.
- Client Responsibilities: 3.1. Clients agree to provide accurate and truthful information necessary for the provision of services by ElixirWebs. 3.2. Clients are responsible for obtaining any necessary permissions, licenses, or rights for content provided to ElixirWebs for use in marketing campaigns.
- Intellectual Property: 4.1. ElixirWebs retains ownership of all intellectual property rights associated with the services provided, including but not limited to designs, reports, and marketing strategies. 4.2. Clients may not reproduce, distribute, or modify any materials provided by ElixirWebs without prior written consent.
- Confidentiality: 5.1. ElixirWebs agrees to keep confidential any proprietary or sensitive information provided by clients, and will not disclose such information to third parties without prior written consent, except as required by law.
- Limitation of Liability: 6.1. ElixirWebs shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of our services. 6.2. ElixirWebs’ total liability to clients for any claim arising out of or related to these Terms or the services provided shall not exceed the total amount paid by the client to ElixirWebs under the contract.
- Termination: 7.1. Either party may terminate the contract upon written notice if the other party breaches any material provision of these Terms and fails to remedy the breach within 30 days of receiving written notice thereof. 7.2. Upon termination, clients shall pay ElixirWebs for all services rendered up to the date of termination.
- Governing Law and Jurisdiction: 8.1. These Terms shall be governed by and construed in accordance with the laws of India. 8.2. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India.
- Amendments: 9.1. ElixirWebs reserves the right to amend these Terms at any time. Any changes will be effective immediately upon posting on the Website. Continued use of our services after any such changes shall constitute your consent to such changes.
